TO THE FULLEST EXTENT PERMITTED BY LAW, BASEMENT LIGHTING COMPANY, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Section 18 — Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services — including disputes regarding the validity or enforceability of this arbitration clause — shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Arbitration shall take place in DeKalb County, Georgia, or at a mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You and Basement Lighting Company, LLC each waive the right to a jury trial and the right to participate in any class action, class arbitration, or representative proceeding. All claims must be brought in your individual capacity. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BASEMENT LIGHTING COMPANY, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Section 19 — Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the unenforceable portion shall be severed from these Terms without affecting the validity of any remaining provisions.
Section 20 — Waiver; Entire Agreement
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with any policies posted by us, constitute the entire agreement between you and us regarding your use of the Services and supersede any prior agreements or communications.

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state or federal courts located in DeKalb County, Georgia.
